These Terms of Service (“Terms”) are an agreement between you (“you” or “merchant”) and CODGuard (“we”, “us”, or “our”) governing your use of the CODGuard application and related services (the “Service”). By installing or using the Service, you agree to these Terms.
1. Eligibility & accounts
To use CODGuard you must have an active Shopify store and the authority to bind that store to these Terms. You are responsible for maintaining the security of your store and for all activity that occurs through your use of the Service.
2. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service except as permitted by law.
3. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party rights
- Send messages that are unlawful, deceptive, or that recipients have not consented to receive
- Attempt to disrupt, overload, or gain unauthorized access to the Service or its infrastructure
- Misuse OTP, risk-scoring, or messaging features to harass users
You are responsible for obtaining any consents required to contact your customers by SMS or WhatsApp through the Service.
4. Fees & billing
Paid plans are billed through Shopify's billing system according to the pricing shown at install or in the app. Charges are recurring until cancelled. Except where required by law, fees are non-refundable. We may change pricing with reasonable prior notice.
5. Third-party services
The Service relies on third parties including Shopify and messaging providers (such as MSG91 and Twilio). Your use of those services is subject to their terms, and we are not responsible for their acts or omissions.
6. Data & privacy
Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring you have a lawful basis to process your customers' data and to use the Service in connection with it.
7. Availability & support
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features at any time. Support is provided as described on our site and in the app.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Risk scores and verification outcomes are decision-support signals and do not guarantee any business result.
9. Limitation of liability
To the maximum extent permitted by law, CODGuard will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the three months preceding the claim.
10. Termination
You may stop using the Service at any time by uninstalling the app. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, the licenses granted to you end and we handle your data as described in our Privacy Policy.
11. Changes to these Terms
We may update these Terms from time to time. When changes are material, we will update the “Last updated” date and provide notice where appropriate. Continued use of the Service after changes take effect constitutes acceptance.
